01

A search mandate, not a stream of random teasers.

Good buy-side work begins before a target list. We define what creates strategic or investment fit, what the buyer can execute, and which criteria should stop a conversation early.

Mandate definition

Turn an acquisition thesis into practical sector, geography, size, ownership, funding, and integration criteria before the search begins.

Target identification

Build and prioritise a target universe using strategic fit, ownership context, scale, market position, and likely transaction readiness.

Confidential owner outreach

Approach selected owners privately, test willingness to engage, and protect the buyer's identity until disclosure is appropriate.

Valuation and offer strategy

Assess valuation, structure, funding, and negotiation positions before an indication of interest or letter of intent is submitted.

Diligence coordination

Structure information requests, coordinate specialist advisers, identify decision-critical issues, and keep the process moving.

Negotiation and execution

Support management meetings, offer revisions, exclusivity, transaction documents, conditions, and the path to completion.

02

Mandates we can assess.

We work selectively. A credible brief should explain the acquisition rationale, target profile, decision process, funding path, and why an owner should take the conversation seriously.

Strategic market entry

Acquire an established business, local team, licences, distribution, or customer base to enter an Asia Pacific market.

Platform acquisition

Find a durable lower-middle-market business that can support a new regional investment or operating platform.

Add-on acquisition

Extend an existing portfolio company through geography, product, capability, customer, or supply-chain adjacency.

Founder succession

Identify profitable owner-led businesses where continuity, management transition, and seller fit are central to the transaction.

03

How an advisor-led search works.

The exact scope is agreed after a mandate-fit and conflict review. The process below is the typical path for a full acquisition search.

01
Define the brief
We confirm the acquisition rationale, hard filters, preferences, decision authority, funding path, and realistic search perimeter.
02
Map and approach
We research and rank targets, agree an outreach sequence, and begin discreet owner conversations.
03
Evaluate and engage
We assess fit, organise information, support valuation and offer decisions, and coordinate management dialogue.
04
Negotiate and close
We help manage diligence, transaction momentum, commercial negotiation, and execution through completion.

Not every buyer needs a retained search. Use the route that matches how you want to acquire.

Questions about buy-side advisory.

What does a buy-side M&A adviser do?

A buy-side M&A adviser helps an acquirer define its mandate, identify and approach targets, assess valuation and transaction structure, coordinate diligence, negotiate terms, and manage execution. The precise scope depends on the buyer, mandate, geography, and stage of the opportunity.

Can Lyndon approach businesses that are not publicly for sale?

Yes. A buy-side search can include selected owner-led businesses that are not publicly marketed. Outreach is confidential and tests willingness to engage. It does not imply that every identified business is available or willing to transact.

Does Lyndon also represent sellers?

Yes. Lyndon is primarily a sell-side M&A adviser and accepts selected buy-side engagements. We review scope and conflicts before accepting an engagement and do not advise both buyer and seller in the same transaction.

What if I only want to receive matching opportunities?

Use MergerMatch to register your buyer mandate and receive private, anonymized opportunities when your criteria fit. Lyndon does not maintain a separate buyer-mandate register. Lyndon uses MergerMatch to privately list seller-approved opportunities from its sell-side mandates, while Lyndon buy-side advisory is a separate human advisory engagement.

Which buyers does Lyndon work with?

Potential buy-side clients include corporate development teams, strategic acquirers, private equity firms, family offices, holding companies, independent sponsors, search funds, and experienced operators. Engagements are accepted selectively after mandate-fit and conflict review.
